First: Terms Used And Definitions

1-1: Application
The GIFTEE Business App is a digital platform that enables merchants and businesses to create, manage, and publish promotional deals, including but not limited to Catch and Gift 1 Get 1, for end users on the GIFTEE platform.

1-2: Merchant / Business User
Any natural or legal person, commercial establishment, or authorized representative who registers and uses the GIFTEE Business App to create or manage offers.

1-3: Deal
Any promotional offer created by the merchant, including Catch, Gift 1 Get 1, discounts, or similar campaigns.

1-4: Catch
A promotional free or discounted item offered by a merchant to users through the GIFTEE platform, subject to applicable fees.

Second: Scope And Acceptance

2-1: The Business App is provided through electronic channels including mobile applications, dashboards, and web-based platforms.

2-2: Use of the Business App is subject to these Terms and Conditions. Any violation may result in suspension or termination of access.

2-3: These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Commercial Systems, Electronic Transactions Law, and relevant regulations.

2-4: By registering or using the Business App, the merchant acknowledges and agrees to be legally bound by these Terms.

Third: Registration And Account Responsibility

3-1: Registration is mandatory to use the Business App. GIFTEE reserves the right to approve, reject, or suspend any merchant account at its sole discretion.

3-2: Merchants must provide accurate, valid, and up-to-date commercial information, including business registration and contact details.

3-3: Login credentials are confidential and for authorized business use only. Merchants are fully responsible for all activities conducted through their accounts.

3-4: Any unauthorized use or security breach must be reported immediately. GIFTEE shall not be liable for losses resulting from failure to do so.

3-5: GIFTEE may suspend or terminate merchant access in case of violations, misuse, or suspected fraudulent activity.

Fourth: Merchant Obligations

4-1: Merchants are solely responsible for the accuracy, availability, quality, pricing, and fulfillment of all deals created.

4-2: Merchants must honor all deals published on the platform and must not refuse redemption without valid justification.

4-3: Merchants must comply with all applicable Saudi laws, including consumer protection, commercial, tax, and municipal regulations.

4-4: Merchants shall not publish misleading, deceptive, illegal, or infringing content.

4-5: GIFTEE acts solely as a technology platform and is not a party to transactions between merchants and end users.

Fifth: Fees, Payments, And Commissions

5-1: Catch Creation Fee
For each Catch created, the merchant agrees to pay a fee calculated as:
0.25 Halala × Quantity of items included in the Catch deal

5-2: Payment Requirement
Merchants are required to pay the full Catch creation fee at the time of creating the deal in order to make the Catch active/live on the platform. No Catch can go live without payment.

5-3: GIFTEE reserves the right to revise, amend, or replace the Catch fee structure, commission rates, or any other charges at any time. Updated fees will be communicated through the platform or dashboard.

5-4: All fees are non-refundable unless otherwise stated by GIFTEE in writing.

5-5: Merchants are responsible for all applicable taxes, duties, or governmental charges related to their deals.

Sixth: Content And Intellectual Property

6-1: All platform content, branding, trademarks, software, and materials related to GIFTEE are the exclusive property of GIFTEE and its owner.

6-2: Merchants grant GIFTEE a non-exclusive, royalty-free right to use, display, promote, and market merchant content and deals for platform and marketing purposes.

6-3: GIFTEE may edit, remove, or suspend any deal or content that violates these Terms without prior notice.

Seventh: Service Availability And Disclaimer

7-1: The Business App is provided "as is" and "as available" without warranties of any kind.

7-2: GIFTEE does not guarantee uninterrupted service, error-free operation, or specific business results.

7-3: GIFTEE is not responsible for customer behavior, deal misuse, or failure of users to redeem offers.

Eighth: Limitation Of Liability

8-1: GIFTEE shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or reputation.

8-2: GIFTEE is not liable for:

• Deal misuse or fraud by end users
• Merchant operational failures
• System downtime, delays, or technical errors
• Third-party service failures

8-3: Merchant agrees to indemnify and hold GIFTEE harmless from any claims arising from their deals, products, or services.

Ninth: Termination

9-1: Merchants may request account termination subject to settlement of outstanding fees.

9-2: GIFTEE may suspend or terminate access immediately for violations, abuse, or legal requirements.

9-3: Termination does not waive any accrued rights or outstanding payment obligations.

Tenth: Modification And Amendment

10-1: GIFTEE reserves the right to modify these Terms at any time. Changes take effect immediately upon publication.

10-2: Continued use of the Business App constitutes acceptance of updated Terms.
